Virendra Rawal(Nirmal Pandey), a business tycoon in South Africa, dies under mysterious circumstances. A stranger named Om Srivastav(Govinda) enters the scene. As Om becomes a pillar for Virendra's grieving family, Virendra's sister Rajeshwari(Karishma Kapoor) falls for him. Virendra's widow Suman(Tabu), however, does not like this blossoming reletionship a bit. Rajeshwari attributes this to the not so perfect relationship of her sister-in-law & her late brother, but some truths are more unappealing that expected.
Virendra Singh Rawal(Nirmal Pandey) is a business tycoon in Cape Town, South Africa. His sister Rajeshwari(Karishma Kapoor), his mother(Sushma Seth) & his wife Suman(Tabu) are his only relatives. Although Suman is his wife, Virendra has not even touched her since their marriage. Virendra's perfectly shaped business world is shattered by the entry of Mahendra Pratap Singh.
Virendra learns that Mahendra is an Indian spice tycoon, who has come to South Africa to expand his business. Unknown to him, Mahendra is actually Om Srivastav(Govinda), a ghost from the past, in disguise. Virendra is initially wary of Mahendra's expansion plans, but sees the latter's entry as a tool to expand his own business. Mahendra & Virendra strike a deal.
Mahendra invites Virendra to a house in the forest to celebrate the deal. There, Mahendra reveals his true face. Virendra recognizes him & Om kills him brutally. Whole Rawal family gets a brutal shock by his death. At the same time, Om makes an entry as Om Srivastav. Om explains that he had met Virendra in India, whereupon the latter had extended a hand of friendship in case Om wanted to start his business in Africa.
Though Om appears benign, Rajeshwari does not like him a bit. She finds his timing suspicious. Suman too is particularly unhappy on seeing Om. Suman reveals to her mother-in-law that she knows Om. She confesses that she & Om were in love with each other, but as both her & Om's families were poor, her father did not accept this. Instead, she was married to Virendra, the son of her father's old friend, hoping that Virendra would keep her happy. Suman tells that she had told Virendra about the relationship, on which he told her to go with Om.
But Suman did not go with Om. Instead, she stayed with Virendra, being overwhelmed by his compassion. However, Virendra now thought that Suman deserted Om just for money & developed hatred towards her. This explains Virendra's behaviour towards her. Meanwhile, Rajeshwari goes on hunting clues against Om & even finds that Om may be Mahendra. However, Om cleans his traces pretty nicely.
Rajeshwari succeeds in finding some clues nevertheless. She brings in the police, but Om succeeds in proving his innocence yet again. This time, however, he appears hurt by Rajeshwari's distrust in him. Rajeshwari thinks that Om may not be the killer & she has inadvertently hurt the wrong man. She goes to apologize, but finds many pictures of her at his apartment. Rajeshwari thinks that Om was hurt because he was secretly in love with her.
Rajeshwari asks for apology & Om plays along after discovering her misunderstanding. Suman becomes both jealous & uneasy of this new relationship. She & Rajeshwari have a fight, where the latter hits her way below the belt. In rage, Suman proceeds to slap her, but refrains. Rajeshwari leaves home & goes to Om. On learning what happened, Om slaps her instead saying that this is the slap which Suman should have given her.
As a shocked Rajeshwari listens, an angered Om goes on to tell her the story of his relationship with Suman. He also confesses to the murder of Virendra. Before Rajeshwari can do anything, he throws her in a dry well & escapes in his car. Here, Suman learns that Rajeshwari is missing & tries to find her at Om's place. Om feigns ignorance saying that she never came to him. Together, the duo start to search for her, while actually Om is leading Suman away from the place where he left Rajeshwari to die.
Rajeshwari is in the bottom of the well, but not dead. She screams for help, until Zafrani(Johnny Lever) comes to that place. On hearing the screams, he peeks down the well & sees her. Rajeshwari is rescued & she darts back to find Om. Just as Om & Suman are heading towards a place to find her, Rajeshwari comes in front of their car.
Rajeshwari is fully convinced that her brother's murder was a murder pre-meditated by Om & Suman. She rebukes Suman, who happens to be ignorant of what is happening. Om realizes that his cover will not remain intact for long. He overpowers the duo & ties them by ropes. He confesses the crime before Suman, making Rajeshwari realize that Suman is in fact innocent.
But then Om tells of the real reason why he killed Virendra. Om reveals that Virendra was not exactly a kind man that Suman thought him to be. He secretly came with his goons, assaulted Om, killed his father & raped his sisters. His sisters committed suicide. Om came to South Africa to avenge this crime & not for Suman.
In the climax, Om has Rajeshwari & Suman tied down firmly & is ready to run them down by his car. But Zafrani arrives there with a police team. The women are rescued, but Om still goes with his car behind them. It is only when Om plunges in the valley with his car that they realize that Om was not going to kill them, but trying to commit suicide to avoid police, now that his work was done. The women return home distraught.

This film was supposed to be the comeback vehicle of director N. Chandra, who had given a benchmark blockbuster like Tezaab. But it was panned by critics & audience alike. He went on to make films such as Style and Xcuse Me, but none of his films won the popularity & success of Tezaab.
